Increasingly warranty and indemnity insurance is becoming a part of transactions above $50m which itself provides a level of risk management. However, an understanding of the warranty and indemnity insurance environment requires regular interaction with the insurance market to understand current trends and the expectations around the due diligence quality expected and what kinds of warranties will be insurable.

Acted for the shareholders of Australian Lamb Company, Australia’s largest lamb processor and global exporter, on its A$400m sale to a joint venture entity between Brazilian Stock Exchange Listed, Minerva and SALIC, a Saudi Arabian public investment fund. Acted for the owner of Back in Motion, the owner and franchisor of 122 Physiotherapy Clinics, on its $125m sale to ASX listed Healthia, thereby creating the Asia Pacific Region’s largest physiotherapy group.AUTOMOTIVE & TECHNOLOGY
Acted for Cox Enterprises (a $25 billion turnover enterprise) and a large syndicate of Australia’s largest motor car dealers, on the buyout of NewsCorp from Carsguide and bringing together Mannheim motor auctions, AutoTrader online car sales business, Kelly Blue Book and technology solutions including Dealer Solutions, Sell my Car and Xtime, to create a genuine competitor to CarSales in the Australian market. This transaction included ACCC approval.MEDICAL & RESEARCH
Acting for Mind Bio on its formation, acquisition of intellectual property rights from Auckland university, acquisition of a technology business and its back door listing onto the Canadian stock exchange. Mind Bio is a mental health research business in relation to micro-dosing of LSD that currently has 2 phase 2 clinical trials nearing completion.
